Terms of Service
Version 1.0.2 · 11 October 2026
1. About these Terms
1.1 These Terms govern your use of Codeliance, a service operated by CODELIANCE LIMITED, a company incorporated in Ireland under company number 795846 ("Codeliance", "we", "us").
1.2 "Customer" means the organization for which an account is created. "You" means the Customer and each person using Codeliance on its behalf. A person who creates an account, or who requests a free scan, confirms they have authority to accept these Terms for the organization they name.
1.3 Codeliance is a business service. It is not offered to consumers.
1.4 Our Privacy Policy explains how we handle personal data. Where we process personal data on your behalf as your processor, we do so under a data processing agreement, which we provide on request.
2. The service
2.1 Codeliance helps you assess an online platform against regulations such as the EU Digital Services Act. The core of the service is automated evaluation. An AI agent browses your platform in a real browser, the way a visitor or a logged-in user would. It records what it observes as evidence: screenshots, page snapshots, network traces and recordings. It reports for each obligation whether the evidence shows it met, shows a gap, or is inconclusive.
2.2 Codeliance also includes an AI compliance advisor, tools for tracking obligations, assigning owners and recording evidence, and reports you can export.
2.3 The service changes. Features, limits and the regulations covered may change. Where a change could significantly affect your use of the service, we tell you in advance (§16).
3. Results are not legal advice
3.1 Evaluations and advisor answers are generated with AI. They can be incomplete or wrong. A result comes with an indication of how strong its evidence is. A result the agent could not establish is shown as inconclusive or as needing your review.
3.2 Codeliance does not give legal advice. A result, report or dashboard is not a certification of compliance, a regulatory approval, or a guarantee of your compliance status. Decisions about your compliance are yours. Have them reviewed by qualified counsel.
3.3 What applies to you depends on what you tell us. Which obligations apply to your platform depends on the information you give, such as your company's size and your platform's classification. Where we suggest answers from our own analysis, check them. You are responsible for keeping this information accurate.
4. Authorization to evaluate a platform
4.1 Add or scan only platforms you are authorized to have evaluated. Before you add a platform, run an evaluation, or request a free scan, you must operate that platform, or have the operator's permission to have it evaluated in the way this section describes.
4.2 By adding a platform, you authorize us to access it as §2.1 describes. That includes logging in with any credentials you give us. It also includes loading resources from the other domains your platform relies on. We add the ones it needs automatically, and you can review them in its settings.
4.3 Some evaluations interact with your platform. Our agent is instructed not to change your platform. But where an obligation can only be evaluated by using a feature, the evaluation uses it the way a user would. For example, it may submit a notice through your illegal-content reporting mechanism, post content to check how commercial content is declared and labeled, or start an account sign-up or deletion flow. These actions are real on your platform. They may reach your moderation team or send messages. Each scenario's description says what it does. If you do not want an interaction to happen on your platform, contact us before you run the evaluation.
4.4 Evaluation credentials. Give us credentials only for an account created for our evaluations. Don't give us credentials for a real user's account, or for an account with administrative rights you don't want exercised. We store credentials encrypted and never show them to the AI. They are used only to log in during an evaluation or an advisor task.
4.5 You are responsible for telling anyone at your organization, or at the platform's operator, who needs to know that automated evaluation is taking place. That includes, for example, a security or moderation team that might otherwise treat it as an attack or as abuse.
5. Accounts
5.1 A Customer's account can have several users, and each user belongs to that one Customer only. The Customer's administrators decide who is invited, each user's role (Admin, Member or Viewer), and who is removed. A Customer always has at least one Admin.
5.2 You are responsible for activity under your account. Keep your password confidential, and tell us at hello@codeliance.com if you suspect someone else has used it.
5.3 Our access to your account. Codeliance staff can access your account to operate, support and secure the service. Access by staff acting within your account is recorded.
6. Your content
6.1 "Your content" means what you upload or enter, together with the evidence and results produced for your platforms. It remains yours. You grant us a license to host, copy, process and display it only as needed to provide and secure the service for you.
6.2 What you may not upload. You may not upload:
- (a) malware, or any file designed to harm a system or a person who opens it;
- (b) content you are not permitted to share with us, under law or under an obligation you owe someone else;
- (c) content that is illegal; or
- (d) evidence that has been fabricated, or altered so that it misrepresents the real state of your platform. Examples are an edited screenshot, or a policy document that is not the one in use.
6.3 How uploads are restricted. We accept evidence files only of the types we list, up to 50 MB each and 90 MB per submission. Every uploaded file is scanned for malware automatically. A file the scan finds malicious is withheld: it stays in your account's record, but no one can download it, and the record shows why. No person reviews that decision before it takes effect. You can challenge it (§11.6). Files the scan could not check are available, marked as unchecked.
6.4 We do not monitor your content generally. Apart from the malware scan, we act on content only when we are told about it (§14) or the law requires it.
7. Acceptable use
You must not:
- 7.1 evaluate or scan a platform you are not authorized to have evaluated (§4.1);
- 7.2 use Codeliance to attack, overload, or gain unauthorized access to any system, including ours;
- 7.3 get around a usage limit, a security control or an access restriction, including by creating multiple accounts;
- 7.4 share your account with people outside your organization, or resell access to Codeliance without our written agreement;
- 7.5 use Codeliance in breach of the law.
8. Plans and usage limits
8.1 Codeliance has a Free plan and paid plans. Each plan has limits, and the ones that apply to you are shown in the product. On the Free plan they include a number of AI-assisted actions (evaluations, explorations and advisor tasks) and a number of platforms. Free scans and uploads are limited on every plan. We may raise a limit for you on request.
9. Fees
9.1 The Free plan is free of charge.
9.2 A paid plan is a subscription. Its price and its billing period, monthly or annual, are shown before you buy. Prices are in US dollars and exclude VAT and other taxes, which are added where they apply. You pay for each period in advance, and the subscription renews for the same period until it is canceled.
9.3 Payment is taken by Stripe, our payment provider, on its own pages. We do not receive or store your card details. Where we have agreed it with you, we invoice you instead.
9.4 You can cancel a subscription at any time from your account's billing settings. When a subscription ends, your account moves to the Free plan and its limits (§8).
9.5 If we change the price of your plan, the new price applies from your next renewal, and we tell you in advance.
10. Availability
10.1 We work to keep Codeliance available, but we give no availability commitment or service level. The service may be interrupted for maintenance, updates or reasons outside our control.
10.2 An evaluation may be unable to complete if your platform blocks automated access. It may also fail if your platform's network rejects our servers, or if your platform changes during the run. An evaluation that cannot complete is reported as such, not as a finding about your compliance.
11. Suspension and termination
11.1 You may stop using Codeliance at any time. To close your account, write to hello@codeliance.com.
11.2 Grounds on which we may suspend or restrict an account. These are:
- (a) a serious or repeated breach of §4.1, §6.2 or §7;
- (b) activity that threatens the security or integrity of the service or of another system;
- (c) a requirement of law or of a lawful order (§13).
11.3 Any restriction we apply is proportionate to the ground. It takes due account of your rights and legitimate interests and those of anyone else affected. Where we can, we first warn you and give you a chance to fix the problem.
11.4 When we restrict your account under these Terms, we tell you:
- what we did, its scope and how long it lasts;
- the facts it was based on, and whether they came from a report or our own detection;
- whether automated means were used;
- the clause of these Terms we relied on, and why we consider it breached;
- where we acted because content is illegal, the law concerned and why the content breaches it; and
- how you can challenge it: through §11.6, or before the courts (§17).
We write it clearly, and as precisely and specifically as we reasonably can.
11.5 After an account is closed, we delete or anonymize its data as our Privacy Policy describes. You agree that we complete a request to erase personal data within 30 days, across all our systems, and that some copies, such as server logs and database backups, are removed by expiring within that time rather than one by one. There is no self-serve export yet: if you want a copy of your records, ask us before you close your account and we will help you export them.
11.6 Challenging a decision. If you think we were wrong to withhold content or restrict your account, write to hello@codeliance.com. Say which decision it is and why you think it is wrong. A person, not an automated tool, reviews your complaint. We aim to respond within 14 days. We tell you the outcome and our reasons. If we uphold your complaint, we reverse the restriction without delay. This procedure does not affect your right to go to the courts (§17).
12. Intellectual property
12.1 Codeliance, including the software and our analysis of each regulation, belongs to us. The legislation itself is public. You may use your results and reports for your own compliance work, and share them with your advisors and regulators.
12.2 If you send us feedback, we may use it without obligation to you.
13. Orders from authorities
13.1 We comply with lawful orders from judicial or administrative authorities concerning your content. When we receive one, we tell you about the order, what we did in response, our reasons and how you can challenge it. We tell you no later than when we act on the order, or at the time the authority specifies.
14. Contact points and reporting illegal content
14.1 Our points of contact for recipients of the service and for authorities, and our route for reporting illegal content, are on our contact page. The Terms point there rather than repeating the details, so that they stay current.
15. Liability
15.1 Codeliance is provided "as is".
15.2 Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence. Subject to that, we are not liable for indirect or consequential loss, or for loss of profits, revenue, data or goodwill. Our total liability arising from these Terms in any 12 months is limited to the greater of the fees you paid us in those 12 months and €100.
15.3 You are responsible to us for any loss we suffer from a claim by a third party arising from an evaluation or scan you ran or requested of a platform you were not authorized to have evaluated (§4.1).
16. Changes to these Terms
16.1 If we make a significant change to these Terms, we tell account holders by email and in the product at least 30 days before it takes effect. We say what changed and when. A significant change includes a change to what you may upload, a new ground for suspension, or a change that affects your ability to use the service. If you do not agree, you may close your account before the change takes effect (§11.1).
16.2 Each version of these Terms carries its version number and date.
17. Governing law
17.1 These Terms are governed by the law of Ireland. The courts of Ireland have exclusive jurisdiction.
